Terms of Service

These Terms of Service ("Terms") govern access to and use of the Pa ProRev application, website, and related services (the "Service") provided by Pa ProRev, LLC("Pa ProRev," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Professional Use

The Service is intended for use by licensed Pennsylvania attorneys and authorized members of their firms in connection with probate, estate administration, and Pennsylvania inheritance tax matters. You represent that you are authorized to access client data you enter and to bind the firm or organization on whose behalf you use the Service.

2. Beta Service

The Service is currently provided as a closed beta. Access is granted by invitation and may be limited, suspended, or revoked at any time. Beta features may change without notice and may contain bugs or incomplete functionality. Beta use is also governed by the Beta Confidentiality & Non-Disclosure Agreement.

3. Accounts & Firm Workspaces

Each subscription is provisioned at the firm level with a defined number of seats. The firm administrator is responsible for inviting users, assigning roles, and removing access when a user leaves the firm. You are responsible for maintaining the security of your credentials and for all activity under your account.

4. Customer Data & Confidentiality

Data you upload or enter ("Customer Data"), including client information and matter files, remains your property. We process Customer Data solely to provide the Service. We treat Customer Data as confidential and apply commercially reasonable administrative, technical, and physical safeguards, including encryption in transit, row-level access controls, and isolation by firm.

5. Not Legal Advice; No Substitute for Professional Judgment

The Service is software for licensed legal professionals. It does not provide legal advice. Generated forms (including REV-1500 packages, probate forms, and supporting schedules) are working copies and must be reviewed and verified by a licensed attorney against the official Pennsylvania Department of Revenue and Register of Wills source forms before filing or delivery.

6. Acceptable Use

  • No reverse engineering, decompiling, or attempting to derive source code.
  • No scraping, bulk export, or use of the Service to train AI models.
  • No uploading of malware, unlawful content, or data you are not authorized to process.
  • No resale, sublicensing, or providing the Service to third parties.

7. Intellectual Property

The Service, including its software, design, content, trademarks, and the name "Pa ProRev," is owned by Pa ProRev, LLC and protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

8. Fees

The Service is provided free of charge during the beta period. Following beta, paid subscription pricing will apply on a per-firm, per-seat basis with terms disclosed at the time of subscription.

9. Termination

We may suspend or terminate your access for breach of these Terms, misuse of the Service, or to protect the integrity of the platform. You may stop using the Service at any time. Upon termination, your right to use the Service ends; we may retain Customer Data as required to comply with law or as described in our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PA PROREV, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED OUTPUT IS ACCURATE OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PA PROREV, LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER.

12. Indemnification

You agree to defend and indemnify Pa ProRev, LLC against claims arising from your Customer Data, your use of the Service, or your breach of these Terms.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles. Exclusive venue lies in the state and federal courts located in Pennsylvania.

14. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service. Continued use after the effective date constitutes acceptance.
